Welcome to TAXFIN ABM Chartered Accountants. These Terms & Conditions govern your access to and use of our website (https://abmcharteredaccountant.ae) and the services provided by us. By using the Website or our services, you agree to these Terms in full. If you disagree with any part, please do not use our Website or services.
1. Interpretation & Definitions
1.1 Interpretation
Words with initial capitals have defined meanings. Singular includes plural and vice versa where context allows.
1.2 Definitions
- “Client” means a person or entity engaging us for any services.
- “Services” includes accounting, bookkeeping, auditing, VAT & corporate tax compliance, advisory, payroll, and related services.
- “Engagement Letter” means the formal contract between TAXFIN ABM Chartered Accountants and the Client specifying scope, deliverables, timelines, and fees.
- “Confidential Information” means all non-public information disclosed between parties in relation to the services.
- “Applicable Laws” means UAE federal laws and regulations (and any local emirate laws) as applicable.
- “Business Day” means any day other than Friday, Saturday, or UAE public holiday.
2. Scope of Services & Engagement
2.1 Engagement by Letter
Any services we provide are governed by a written Engagement Letter or contract, which incorporates these Terms. The Engagement Letter sets out scope, deliverables, fees, timing, and responsibilities.
2.2 Client Cooperation & Information
You agree to provide full, accurate, and timely information, documents, and explanations as required by us. If information is missing, incomplete, or incorrect, we are not responsible for errors or delays arising.
2.3 Changes to Scope
If additional work or changes are requested outside the agreed scope, we may issue a variation to the Engagement Letter and adjust fees accordingly.
3. Fees, Invoicing & Payment
3.1 Fees
Our fees are set out in the Engagement Letter and are based on complexity, skill, time, and value delivered.
3.2 Invoicing
We will issue invoices periodically (monthly, quarterly, or as agreed). Payment terms (e.g. within 30 days) will be specified in the Engagement Letter.
3.3 Late Payment
If payment is delayed, we may charge interest (e.g., [rate per annum above UAE Central Bank rate]) and/or administrative fees. We may also suspend services until payment is made.
3.4 Non-Refundability
Payments made are non-refundable, except where expressly agreed in writing or required by law.
4. Intellectual Property
All materials, content, software, templates, or tools provided by us remain our intellectual property unless otherwise agreed in writing. You may use these solely for purposes of the engagement and must not reproduce, distribute, or commercialize them without our consent.
5. Confidentiality
Each party must treat the other’s confidential information as strictly confidential, not disclose it to third parties except as required by law, and use it only for the purposes of the engagement. This obligation continues after termination of the engagement.
6. Liability & Indemnification
6.1 Limitation of Liability
To the maximum extent permitted by law, our total liability arising from or in connection with the engagement (whether contract, tort, or otherwise) shall not exceed the fees paid by the Client under that engagement for the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive losses (e.g., loss of profit, business interruption) or for errors resulting from inaccurate information provided by you.
6.2 No Exclusion of Fundamental Liability
Nothing shall limit liability for death or personal injury caused by our negligence, or for fraud.
6.3 Indemnification
You agree to indemnify and hold us, our directors, employees, agents harmless against any claims, costs or losses arising from your breach of these Terms, misuse of services, or inaccurate information.
7. Data Protection & Privacy
7.1 Compliance
We comply with applicable data protection laws, including UAE data privacy regulations (and others if relevant).
7.2 Use of Data
We collect, process, and store data necessary to provide our services, maintain records, comply with legal obligations, and as otherwise detailed in our Privacy Policy.
7.3 International Transfers
Where data is transferred outside the UAE, we ensure appropriate safeguards are in place.
8. Termination & Consequences
8.1 Termination
Either party may terminate the engagement by giving written notice as per the Engagement Letter. We may also terminate immediately if you materially breach terms or fail to provide required information.
8.2 Effects
On termination, all outstanding fees immediately become due. You must pay for all work in progress. Confidentiality and liability clauses survive termination.

9.1 Website Use
Use of our Website is subject to separate Website Terms & Conditions (such as for browsing, content, links, etc.).
9.2 Service Disclaimer
Information on the Website or any general advice does not substitute for tailored professional advice. Use of information is at your own risk.
9.3 Third-Party Links
We may link to third-party sites for convenience. We do not endorse or control their content or practices and are not responsible for them.
10. Governing Law & Dispute Resolution
These Terms and your engagement are governed by the laws of the United Arab Emirates. Any dispute shall be submitted to the exclusive jurisdiction of UAE courts (or as agreed in the Engagement Letter).
Before formal proceedings, parties will attempt to resolve any dispute amicably.
11. Amendments & Variation
We may revise these Terms at any time. Significant changes will be communicated (e.g. via email) at least 30 days before taking effect. Continued use after changes indicates acceptance.
An amendment must be in writing and signed by both parties to be valid.
12. Miscellaneous
- Severability: If any term is invalid or unenforceable, the rest remain in effect.
- Waiver: Failure to enforce a right does not constitute waiver of future rights.
- Assignment: You may not assign your rights or obligations without our written consent.
- Notices: Communications shall be in writing and delivered via email or registered address as agreed.
